Developer Terms — LeafProton
Version 1.0
Read this first
Plain-language summary. It does not replace the text: in case of divergence, the full text of the clauses prevails.
- These Terms apply to anyone who publishes packages on the LeafProton marketplace. They are added to the Terms of Service, which still apply to you.
- The package is yours — and so is the responsibility for it. Content, operation, support, external services and what the package does with customers' data are on you.
- Customer data only goes where the customer sent it. A hidden, disguised or undeclared data outflow is the most serious breach of these Terms.
- Our review is not a guarantee. Approving a package does not mean we certify it, and the review does not shift any of your responsibility to us.
- We may reject, unpublish or suspend at any time, at our discretion, and warn whoever imported a package removed for security reasons.
- What the customer imported stays with them, to use and modify, even if the package leaves the catalog.
- The marketplace is free to publish on, and it does not pay. Paid packages, if they come, will have their own rules.
- You indemnify us for what your package causes to customers, to third parties or to us.
1. What these Terms govern
1.1. These Developer Terms ("Developer Terms") are the agreement between the operator of the LeafProton platform ("LeafProton", "we") and the individual or legal entity that applies to register as a developer on the LeafProton marketplace ("Developer", "you").
1.2. The Developer Terms supplement the Terms of Service, published at leafproton.com/en/legal/terms/, and the Privacy Policy, published at leafproton.com/en/legal/privacy/. The Developer remains a Customer for all purposes of the Terms of Service, including the warranty, limitation of liability and indemnification clauses (clauses 22, 23 and 24 of those Terms).
1.3. In case of conflict, the following prevail, in this order: (i) the specific agreement signed between the parties, if any; (ii) these Developer Terms, as to the marketplace and Packages; (iii) the Terms of Service; (iv) the Privacy Policy.
1.4. Capitalized terms not defined here have the meaning given to them in the Terms of Service.
1.5. Acceptance takes place by ticking the acceptance box in the developer registration request. The electronic record of acceptance, with the accepted version and the date, is sufficient proof of contracting. If you accept on behalf of an organization, you represent that you have the power to bind it, and "Developer" becomes the organization.
2. Definitions
| Term | Meaning |
|---|---|
| Marketplace | The catalog, within the Service, where published Packages can be found, rated and imported by Customers. |
| Package | The set of items — forms, flows, dashboards, external values, boards, reports and others the Service may come to support — with a Listing, images and Versions, that the Developer submits to the Marketplace. |
| Version | The copy of a Package submitted for Review. Once submitted, it does not change: fixing it requires a new Version. |
| Listing | Name, summary, description, category, languages, images, release notes and any other information the Developer provides about the Package. |
| Development Project | The project marked as a development environment, from which Packages are built. |
| Public Profile | The Developer's public name, description, support email, website and statistics. |
| Parameter | The value the Customer provides when configuring an imported Package, such as an address, email, access key or team member. |
| External Service | Any system, API, website or service operated by the Developer, or by a third party the Developer points to, to which a Package sends data or from which it receives data. |
| Importing Customer | The Customer who imports a Package into a Space. |
| Review | The automated checks, the artificial intelligence analysis and the human decision to which we submit registration requests and Versions. |
3. Registration, approval and verification
3.1. Anyone may apply who has an Account in good standing in the Service, is at least 18 years old, or the age of majority in their country, whichever is higher, has full legal capacity and acts for professional purposes. The application data must be true, complete and kept up to date.
3.2. Approval is our decision, at our sole discretion. We may reject the application without giving a detailed reason, and no one has a right to be approved. Whoever was rejected may apply again through the Service.
3.3. We may request, at any time, identity confirmation, documents or information about the Developer's organization. Refusing to provide them, or providing false information, authorizes rejection of the registration or suspension (clause 10).
3.4. The verified badge is granted at our discretion and indicates only that we carried out, at that moment, the verification described in the Service. It is not an endorsement, nor a guarantee of the quality, security or lawfulness of the Packages, and it may be withdrawn at any time.
3.5. Each Account has a single developer registration, which cannot be transferred. Creating another registration to get around a rejection, suspension or limit is prohibited.
4. Development Projects
4.1. The Development Project exists exclusively to build, test and maintain Packages, up to the number of projects the Service indicates.
4.2. The items of a Development Project are excluded from the plan's quantity limits only for that purpose; monthly consumption counts normally. Using it to run real processes, to receive responses from third parties as an operation, or to get around the plan's limits is prohibited.
4.3. In the Development Project, use only fictitious or test data. Do not enter personal data of real people, third-party secrets or production credentials.
4.4. If the Development Project is used outside its purpose, we may withdraw the exemption from limits, limit or deactivate items, charge for the use under the Terms of Service and apply the measures of clause 10.
5. Submission, review and publication
5.1. Every Version goes through Review. To carry it out, you authorize us to read, copy, import, run and test the Package in our own environment, and to send the Package inventory and other necessary information to the AI model providers on the list published at leafproton.com/en/legal/subprocessors/, including in other countries.
5.2. There is no guaranteed time frame for Review, nor any obligation on our part to approve or publish. We may approve, reject or request changes at our discretion, with or without a detailed reason. The Review report is our internal document: the Developer has no right to receive it.
5.3. Review is not a guarantee. It is a risk-reduction measure for the benefit of the platform, not a service provided to the Developer nor a guarantee given to Customers. Approving a Version does not mean that we certify, endorse or guarantee the security, quality, lawfulness, operation or fitness of the Package, and it does not shift any of your responsibility to us — not even when the problem could have been found in Review.
5.4. We may review again, at any time, any Version already published.
5.5. We decide how the Marketplace presents Packages: order, search, categories, highlights and labels. We may adjust the Listing for format, category, translation or correction of an obvious error. We do not guarantee visibility, position, number of installs or rating.
5.6. The Marketplace is not exclusive. We may publish our own Packages or those of third parties, including ones that compete with yours.
6. Your obligations
6.1. You represent and warrant that:
- you own, or hold a valid license to, all the content of the Package and the Listing — texts, formulas, images, trademarks, logos and templates —, with the right to grant the licenses of clause 8;
- the Package and the Listing do not infringe intellectual property, trade secrets, image rights, privacy, contracts or the law;
- the Listing is true, complete and not misleading: it describes accurately what the Package does, the data it processes, the External Services it depends on and its limitations, without claiming certification, compliance, partnership or endorsement that does not exist;
- the Package has no hidden or dormant functionality, nor functionality different from what the Listing and the inventory generated by the Service show;
- you will keep the Public Profile and the support channel accurate and up to date.
6.2. Support. Support for the Packages is the Developer's sole obligation. The support email must work and be monitored, and Customers' questions must be answered within a reasonable time. We do not provide support for your Packages and may forward to you the complaints we receive.
6.3. Maintenance and security. You must fix defects in your Packages and, upon learning of a security flaw in any of them, notify us immediately through the channel in clause 21 and submit a fixed Version as soon as possible.
6.4. Cooperation. You must answer, within the time frame we indicate, our requests for information about the Packages, the External Services and data processing. Failure to answer authorizes the measures of clause 10.
6.5. Compliance with the law. It is up to you to comply with the legislation applicable to the Packages and to the purpose for which they were made — including rules on data protection, consumer protection, electronic communications, sanctions and regulated sectors. We do not assess the regulatory fitness of Packages.
7. Prohibited conduct
7.1. It is prohibited to:
- collect, copy, transmit or expose data of Customers, their Authorized Users or Respondents to a destination that the Customer itself has not configured knowingly and in an informed way;
- hide, disguise or obfuscate a data outflow, destination, permission or behavior of the Package, or try to deceive the automated checks, the AI analysis or the human decision — including by making the Package or the External Service behave one way during Review and another way after it;
- include malicious code, phishing, credential harvesting, social engineering or a form that impersonates a third party;
- suggest as a Parameter value a destination of yours or of a third party without declaring prominently in the Listing who operates it, what data it receives and for what purpose;
- use the Package to send unsolicited messages or communications on the Customer's behalf that the Customer has not configured;
- publish content that is unlawful, defamatory, discriminatory, hateful, sexually explicit, violent, that exploits minors, or that promotes fraud, pyramid schemes, gambling, weapons or drugs;
- include in the Package or the Listing personal data of real people, secrets, credentials or access keys;
- manipulate ratings, installs, statistics or position in the catalog — including through fake, purchased or exchanged ratings, ratings made by accounts under your control, or by offering a benefit in exchange for a rating;
- use LeafProton's trademark, name or visual identity to suggest a partnership, endorsement, certification or relationship that does not exist;
- use the Marketplace, the Public Profile or support to collect Customers' data for a purpose other than supporting the Package, or for unsolicited commercial communication;
- test the security of the Review, the Marketplace or the Service without written authorization, or exploit a flaw you found — a flaw you found must be reported to us;
- publish a copy, with minimal changes, of another Developer's Package or of our material without authorization, or submit Packages in bulk, duplicated or without real usefulness;
- make the use of the Package conditional on payment, registration or contact outside the Service that is not prominently declared in the Listing.
7.2. Breach of this clause authorizes the measures of clause 10, immediately and without prior notice, without prejudice to the indemnification of clause 17.
8. Licenses
8.1. The Package remains yours, or your licensors'. We do not acquire ownership of it.
8.2. License to LeafProton. You grant us a non-exclusive, worldwide, royalty-free license, transferable to successors and sublicensable to service providers, for the term of protection of the rights involved, to host, store, copy, analyze, run, test, technically adapt (convert format, change identifiers, replace values with Parameters, deactivate items on import), translate the Listing, display, distribute and make the Package available to Customers, and to use the name, Public Profile, Listing, images and screenshots of the Package in the operation, promotion and advertising of the Marketplace and the Service, in any medium.
8.3. License to Customers. When a Customer imports a Package, you grant that Customer and its Authorized Users a non-exclusive, worldwide, royalty-free, perpetual and irrevocable license to use, copy, modify, adapt, combine with other content and create derivative works of the imported items, within the Service, for the purposes of the Customer's activity. The license does not include reselling or republishing the Package as if it were the Customer's. You may not impose any additional condition on the Customer for using the Package.
8.4. Imported items become Content of the Importing Customer, under the Terms of Service. Unpublishing the Package, or suspending or terminating your registration, does not delete or undo what has already been imported.
8.5. We grant you a personal, limited, revocable, non-exclusive and non-transferable license to use the Marketplace and the development tools, under these Developer Terms. You may state, factually, that the Package is available on the LeafProton marketplace; any other use of our trademark requires written authorization.
8.6. Freedom to develop. Nothing in these Developer Terms prevents us from creating, commissioning, acquiring or publishing Packages, templates or features similar to or competing with yours, on our own or through third parties. Ideas, features, business processes and general solutions are not protected by these Developer Terms, and submitted Versions are not confidential information.
8.7. Suggestions and feedback you send us may be used freely, without confidentiality, attribution or compensation.
9. Public profile, ratings and statistics
9.1. The Public Profile is visible to all users of the Service and, if the Marketplace comes to have open pages, to the general public. You publish it by your own choice: do not include in it any data you do not want to make public.
9.2. Users of the Service may rate and comment on Packages. Ratings are third-party content: we do not endorse them and are not responsible for them. You may reply to each rating through the Service, in professional language, without offense, without retaliation and without exposing personal data of the rater or of third parties.
9.3. We may moderate, keep or remove ratings and replies at our discretion, and we are not obliged to remove a negative rating.
9.4. The statistics — installs, average rating and published Packages — are calculated by our systems, may contain errors or delays, may be recalculated, corrected or reset (for example, after removing a fraudulent rating) and do not create any right.
9.5. We do not provide the Developer with the identity of the Spaces or of the people who imported its Packages, except for what the Service shows in aggregate form or what the Customer itself decides to share with you.
10. Suspension, unpublishing and removal
10.1. We may, at any time, at our discretion, with or without prior notice:
- reject or cancel Versions, and block the submission of new Versions;
- unpublish Packages, or remove them from the catalog, search or highlights;
- withdraw the verified badge;
- suspend or terminate the developer registration;
- deactivate imported items, or warn the Spaces that imported them, when necessary to protect Customers, Respondents, third parties, the Service or us.
10.2. These measures may result from, among other reasons, suspected breach of these Developer Terms or of the law, risk to security or privacy, a complaint from a rights holder, a Customer or an authority, a Package that is outdated or incompatible with the Service, failure to answer a request from us, legal or reputational risk, or a change in the Marketplace.
10.3. When a Package is removed for security reasons, we may warn the Spaces that imported it, explain the reason in general terms and recommend measures. You authorize this communication and acknowledge that it is neither an offense to your reputation nor a breach of confidentiality.
10.4. Whenever possible, and when doing so does not harm security, an investigation or the law, we will state the reason for the measure. You may ask for reconsideration through the Service or by email to legal@leafproton.com, and the reconsideration is decided by us.
10.5. The measures of this clause do not give the Developer any right to compensation, damages or lost profits.
10.6. Where there is evidence of unlawful conduct, we may preserve evidence, notify the authorities and cooperate with investigations, including by providing the Developer's data.
11. Personal data
11.1. Your data as a Developer — registration, Public Profile, acceptance record and communications — is processed by us as controller, as described in the Privacy Policy.
11.2. When the Account is deleted, the Public Profile is anonymized and the Packages leave the catalog. What has already been imported stays with the Customers, and ratings remain published without the name of the person who made them.
11.3. The Marketplace does not give the Developer access to Customers' Content. If you receive personal data from a Customer — through support, or because the Customer configured a Package to send data to an External Service of yours —, you process it as an independent controller or as that Customer's processor, under a direct agreement between you, and never on our behalf. In that case, you must:
- comply with the applicable data protection legislation and maintain your own privacy notice;
- use the data only for the purpose for which the Customer sent it, and delete it when that purpose ends;
- adopt security measures appropriate to the risk;
- notify the Customer and us, without delay, of any incident affecting it.
11.4. We are not a party to the relationship between you and the Customer regarding that data, and we are not liable for it.
12. External Services
12.1. If a Package depends on an External Service, the Listing must prominently declare: who operates it, what data it receives, for what purpose, whether there is a cost and where its terms of use and privacy notice are.
12.2. The External Service is the Developer's sole responsibility — its availability, security, lawfulness and the data processing it carries out. The relationship between the Customer and whoever operates the External Service is direct: we are not a party, we do not intermediate and we guarantee nothing about it.
12.3. It is prohibited to change the External Service so that the Package starts doing something different from what was declared in the Listing when the Version was reviewed, or to use it to collect data beyond what was declared.
12.4. We may block destinations, domains or services at any time, including through the Service's protections against calls to internal or suspicious addresses.
13. Free of charge, paid packages and compensation
13.1. These Developer Terms cover only free Packages. You may not charge Customers for the Package, nor make its use conditional on payment. If the Package depends on a paid External Service, this must be prominently declared in the Listing.
13.2. The Developer receives no compensation, commission, revenue share or payment from us for Packages, installs or use. The value the Marketplace generates for the Service is ours.
13.3. Paid packages, if and when offered, will have their own conditions — fees, payouts, taxes and refunds —, which will depend on express acceptance. Nothing here obliges us to offer them or gives the Developer a right to take part in them. We may start charging for publication or for Marketplace features through a new version of these Developer Terms.
14. Changes to the Service and the Marketplace
14.1. We may change, at any time, the Service's modules, the item format, the Package inventory, the rules, the Review criteria, the categories, the limits and the APIs, including in ways that require a Package to be adapted or make it stop working, with no obligation of compatibility, notice period or migration.
14.2. We may suspend or discontinue the Marketplace, in whole or in part, temporarily or permanently, at any time, with no duty to compensate.
14.3. The Marketplace and the development tools may be evolving and change without notice, as provided in clause 8.3 of the Terms of Service.
15. Disclaimer of warranties
15.1. The Marketplace and the development tools are provided free of charge, "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by the Applicable Law.
15.2. In particular, we do not guarantee approval, publication, visibility, installs, ratings, revenue, availability, compatibility or the preservation of Packages, nor that the Review will find any problem.
16. Limitation of liability
This clause and clause 17 allocate the risks of a relationship that is free of charge for the Developer. Without them, the Marketplace would not be offered on these terms.
16.1. Since this is a relationship without financial consideration from the Developer, we are liable to the Developer only for willful misconduct, to the maximum extent permitted by the Applicable Law.
16.2. We are not liable for lost profits, loss of revenue, opportunity, clientele or data, damage to image or reputation, nor for indirect, incidental, special or punitive damages — including those arising from rejection, delays in Review, unpublishing, suspension, withdrawal of the badge, third-party ratings and comments, statistics, communications under clause 10.3, changes to the Service or unavailability.
16.3. Our total and aggregate liability to the Developer, for any and all claims related to the Marketplace, is limited to the equivalent of one month of the lowest paid plan, in the billing currency. This cap is single and is not added to the cap in clause 23.3 of the Terms of Service.
16.4. The limitations of this clause do not apply where the Applicable Law prohibits them; in all other cases, they apply to the maximum extent it allows.
16.5. The limitations of this clause benefit LeafProton only. The Developer's liability for breach of these Developer Terms, including the indemnification of clause 17, is uncapped.
17. Indemnification by the Developer
17.1. The Developer will defend, indemnify and hold harmless LeafProton, its partners, officers, employees and contractors against any claim, action, administrative, judicial or arbitral proceeding, fine, sanction, judgment, settlement, court costs and attorneys' fees arising from:
- the Developer's Packages, Listings, Public Profile and External Services;
- infringement of intellectual property or of third-party rights;
- breach of these Developer Terms, of the Terms of Service or of the law;
- an incident, leak or misuse of personal data caused or facilitated by a Package or External Service of the Developer;
- the relationship between the Developer and Customers, their Authorized Users or Respondents, including support, promises and commitments made;
- the Developer's taxes and charges.
17.2. The indemnification includes reimbursement of incident response costs caused by a Package, an External Service or the Developer's conduct: investigation, technical analysis, notification of Customers, data subjects and authorities, customer service and remediation.
17.3. We will notify the claims we become aware of and may, at our discretion, conduct our own defense at the Developer's expense or require the Developer to take it over. The Developer will cooperate with the defense and will not enter into any settlement that imposes an obligation, burden or admission of fault on us without our written consent.
17.4. We may set off amounts owed to the Developer against amounts owed by the Developer under this clause.
18. Termination
18.1. You may leave at any time, by unpublishing your Packages and requesting termination of the registration through the channels in clause 21, or by deleting the Account.
18.2. We may terminate the registration at any time, with or without cause and with or without prior notice, as provided in clause 10.
18.3. Once the registration ends, for any reason:
- the Packages leave the catalog and receive no new Versions;
- the licenses of clause 8.3 remain in force, forever, for whoever has already imported;
- the license of clause 8.2 remains in force for Versions already imported, for the copies we keep for security, legal obligation or defense of rights, and for promotional materials already produced;
- ratings and comments may remain published;
- the Public Profile is anonymized or removed, as provided in the Privacy Policy.
18.4. Clauses 6.1, 7, 8, 9.3, 9.4, 10.3, 10.5, 10.6, 11.3, 11.4, 12.2, 15, 16, 17, 18.3, 19.5 and 20 survive termination.
19. Changes to these Developer Terms
19.1. We may change these Developer Terms at any time, to keep up with changes in the Marketplace, the Service, the legislation, market conditions or security.
19.2. The new version takes effect upon publication at leafproton.com/en/legal/developer/, or on the date it states. Material changes — those that reduce the Developer's rights or expand its obligations — will be communicated by the Account's email or by a notice in the Service, with no minimum advance notice period.
19.3. We may require express acceptance of the new version for you to keep publishing, submitting Versions or keeping Packages in the catalog. Until acceptance, we may block submissions and unpublish Packages.
19.4. Continuing to use the Marketplace after the new version takes effect — keeping Packages published, submitting Versions, replying to ratings — means agreement. Whoever does not agree must unpublish the Packages and terminate the registration (clause 18.1); that is the only consequence of disagreeing.
19.5. The new version does not apply to disputes about facts prior to its effective date, which remain governed by the version in force at the time of the fact.
19.6. Previous versions are archived and may be requested through the channels in clause 21.
20. General provisions
20.1. Independent parties. These Developer Terms do not create any employment, corporate, representation, agency, franchise or exclusivity relationship. The Developer may not assume obligations or speak on our behalf.
20.2. Assignment. The Developer may not assign these Developer Terms. We may assign them, in whole or in part, as provided in clause 28.2 of the Terms of Service.
20.3. Severability. The invalidity of one provision does not affect the others; the invalid clause will be replaced by a valid one that comes closest to the original intent, preserving to the greatest extent the agreed limitation of liability and indemnification.
20.4. No waiver. Failing to require compliance with any provision is a mere courtesy and does not imply waiver, novation or amendment.
20.5. Entire agreement. These Developer Terms, the Terms of Service and the Privacy Policy are the entire agreement between the parties regarding the Marketplace.
20.6. Communications. The rules of clause 27 of the Terms of Service apply: the Account's email is the official channel, and formal notices go to legal@leafproton.com.
20.7. Headings. Clause headings serve only to organize reading.
20.8. Languages. This document may be published in several languages. The official version is the one published in Portuguese, at leafproton.com/pt/legal/desenvolvedor/; the others are courtesy translations and, in case of divergence of interpretation, the official version prevails.
